Terms of Service

The agreement between you and Clipugo: how campaigns are funded, how clippers and UGC creators get paid, who owns what, and what happens when the rules are broken.

Everyone who uses Clipugo

These terms cover your use of the Clipugo website, platform and services (together, the "Service"), where brands and creators hire clippers and UGC creators to make short-form videos.

Agreeing to these terms

These terms are a legal agreement between you and Clipugo ("we", "us" or "our"). By applying to join, creating an account, launching a campaign, submitting a video or otherwise using the Service, you accept them. If you don't, please don't use the Service.

Who's who. "Brands" means the brands, creators and agencies that run campaigns on Clipugo. "Talent" means the clippers and UGC creators who work on those campaigns. Clippers cut short clips from a brand's existing content and post them on their own accounts. UGC creators film new videos around a brand's product, to the campaign's brief. "Videos" covers both clips and UGC videos.

If you use the Service for a company, brand or agency, you accept these terms on its behalf and confirm you're authorized to do so.

Our Clipper & UGC Creator Guidelines (the "Guidelines") and each campaign's rules and brief form part of these terms, and our Privacy Policy explains how we handle personal information. A signed order form controls wherever it conflicts with these terms.

Eligibility and accounts

You must be at least 18, or the age of majority where you live if that's higher, and allowed to use the Service under the laws that apply to you. You can't use it if we've banned you before.

Your account. Give us accurate information and keep it current. You're responsible for everything that happens under your account, so keep your account details secure and don't share them. If you think someone else has accessed your account, email mail@clipugo.com straight away.

One person, one account. Each talent account belongs to one person. Don't open accounts for others, transfer yours, or run more than one without our written permission.

Running a campaign

Setting up. Brands set up each campaign. A clipping campaign sets the source content, a total budget, a pay rate per 1,000 verified views, the allowed platforms and the rules every clip must follow. A UGC campaign sets a brief: the product, the kind of video, the platforms, the rules and the pay. Keep rules and briefs clear: videos are reviewed against them.

Funding. You fund your budget in the way and at the time set out in your plan or order form. Talent is paid from it for approved work: clippers for verified views on approved clips, and UGC creators on the terms in the brief. We never pay out more than the budget you set.

Reviewing work. Depending on your plan, you or our team review submitted videos against your rules and brief. Review in good faith: reject a video only if it breaks your rules or brief, these terms or the Guidelines, and say which rule. Approved videos are paid from your budget as the campaign sets out.

Pausing and ending. You can pause or end a campaign at any time, and it ends on its own when the budget runs out. Talent can't submit new videos after that. Views on clips submitted earlier, and UGC videos already submitted, are handled as the campaign details describe.

Unspent budget. Budget left when a campaign ends is handled as set out in your plan or order form.

Your content and licenses

This section applies to brands. You keep ownership of the streams, podcasts, videos, images, product information, logos and other material you give talent to work from ("source content").

Your license to us and to talent. When you launch a campaign, you give Clipugo and the talent who join it a non-exclusive, worldwide, royalty-free license to copy, edit, caption and adapt your source content into short videos, use your name, logos and product names as the campaign allows, publish those videos on the platforms your campaign allows and keep them posted, all for the purposes of that campaign. We may also use the source content and videos to run, verify and report on the campaign. You can ask us to have a video taken down if it breaks your rules or causes you a legal problem.

Your promises. You confirm that:

  • you own your source content or have the rights to grant this license, including for any music, footage or brand assets in it;
  • people who appear in it have agreed to being clipped and published, where their agreement is needed;
  • any claims your brief asks talent to make about your product are true and can be backed up;
  • your content, rules and briefs are lawful, infringe no one's rights and don't require talent to break a platform's rules; and
  • your rules flag any limits on use, such as music a platform won't allow.

As the party paying for promotion, you're also responsible for your campaign meeting the advertising rules that apply to you.

Working as a clipper or UGC creator

Clippers edit clips from a campaign's source content, post them on their own accounts and submit the links to Clipugo. UGC creators film new videos to a campaign's brief, then post or hand them over the way the campaign asks and submit them through Clipugo. Joining is free.

Independent contractor. You're an independent contractor, not an employee, worker, agent or partner of Clipugo or of any brand. You decide which campaigns to join, how to edit or film, and when to post, using your own equipment and accounts at your own cost.

Rules. Every video must follow its campaign's rules and brief, the Guidelines, these terms and the rules of any platform it's posted on. Clippers use only the source content the campaign provides. UGC creators use only original footage they shot themselves. Post only from accounts you own or control.

Real views, honest videos, clear labels. Never fake engagement, and never fake a review or testimonial. The Guidelines list exactly what's banned and set out the rules for UGC creators. Label paid content wherever the law or the platform requires it, as explained in Disclosing paid content.

Taxes. You're responsible for reporting and paying taxes on your earnings. We may need tax information before paying you, and may report payments or withhold tax where the law requires.

UGC videos and licenses

The rights a brand gets in an approved UGC video, including where and for how long it can be used, whether it can be edited and whether it can run as a paid ad, will be set out in this section and in each campaign's brief. You'll see those terms in the brief before you start filming.

Until a brand approves a video, it can use it only to run, review and report on the campaign, as described in Intellectual property.

Pay, verification and payouts

Clipping pay. In a clipping campaign, you earn its pay rate for every 1,000 verified views on approved clips you submitted, paid only from the campaign's budget. Once the budget is used up, further views don't earn.

UGC pay. In a UGC campaign, the pay is set in the campaign's brief, and you see it before you start. Approved videos are paid from the campaign's budget on the terms in the brief.

Verified views. Clipugo decides what counts as a verified view. Automated checks and manual review remove views that are fake, botted, bought, incentivized or otherwise not from real people choosing to watch, so our count can be lower than the one a platform shows.

Removals. We may remove views, reject or remove videos, or hold earnings while we investigate if we believe a video or its views break the campaign's rules or brief, these terms or the Guidelines. You can appeal any of these decisions.

Payouts. We pay earnings on the schedule, and through the payout methods, we confirm with you before you join a campaign. Payouts go through payment providers, which may verify your identity and charge their own fees.

Reversals. If earnings came from fake views, fake reviews, fraud or a serious breach of these terms, we may cancel them or, if they've already been paid, recover them, including from future earnings.

Fees

Brands pay the fees shown at signup or in their plan or order form, plus any taxes that apply. Refunds of fees are handled as set out in that plan or order form.

Clippers and UGC creators pay nothing to join Clipugo or to enter a campaign. Your payment provider may charge its own fees to receive a payout.

We'll tell you before any change to our fees takes effect.

Intellectual property

Clipugo's name, logo, website, platform and technology belong to us or our licensors. You get a limited, non-exclusive, non-transferable license to use the Service under these terms. Don't copy or reverse engineer it, or use our name or logo without permission, other than to say accurately that you use Clipugo.

Videos. Brands own their source content, and clippers keep any rights they have in their own editing work, like captions and cuts. Rights in UGC videos are covered in UGC videos and licenses. By submitting a clip or UGC video, you give Clipugo and the campaign's brand a non-exclusive, worldwide, royalty-free license to view, store, display and analyze it to run, verify and report on the campaign.

Feedback. We can use ideas and suggestions you send us without any obligation to you.

Copyright complaints. If you believe something on Clipugo infringes your rights, email mail@clipugo.com with details of your work, where the content appears and how to reach you. You can also report a video directly to the platform it's posted on.

Prohibited conduct

Don't use the Service to:

  • fake views or engagement, or help anyone else do it;
  • post fake reviews or testimonials, or make false or misleading claims about a product;
  • share content that is illegal, infringing, hateful, harassing, sexually explicit, graphically violent or deliberately misleading;
  • impersonate anyone, or misrepresent your identity, your accounts or your relationship with a brand or with Clipugo;
  • use source content outside its campaign, or pass off someone else's clip, footage or video as your own;
  • break the law or any platform's terms;
  • scrape, overload or break into the Service, or get around its limits or security;
  • collect other users' personal information without permission; or
  • arrange payment outside Clipugo for a campaign that started on Clipugo.

Suspension and termination

You can close your account at any time by emailing mail@clipugo.com. Brands stay responsible for fees and commitments already made.

We may suspend or close an account, pause or end a campaign, or hold payouts if we reasonably believe you've broken these terms, the Guidelines or the law, if your account is linked to fake engagement or fake reviews, or if continuing would create legal or security risk. Where it's lawful and reasonable, we'll tell you why.

Afterwards, if your account closes for any reason other than a breach, we'll still pay what you've already earned. If it closes because of fraud or a serious breach, we may withhold earnings connected to it. Terms meant to outlast your account keep applying, such as the licenses for videos already posted or delivered, the limits on liability and the dispute terms.

Third-party platforms

Videos are posted on platforms we don't own or control. Clipugo is not affiliated with, endorsed by or sponsored by TikTok, Meta, YouTube or X, and their names are trademarks of their owners.

Each platform's own terms govern your use of it. Platforms can remove videos, restrict accounts or change how they count views at any time, and we aren't responsible for their decisions. A clip that's removed, or whose views we can no longer verify, may stop earning.

Disclaimers

We provide the Service "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

We don't guarantee any number of views, videos, clippers or UGC creators, any growth for brands, any earnings for talent, or that the Service will always be available and error-free. Results depend on content, platforms and audiences we don't control. Nothing here removes consumer rights that the law says can't be excluded.

Limitation of liability

To the extent the law allows, Clipugo isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, audience or goodwill, even if we were told they were possible.

To the extent the law allows, our total liability for all claims related to the Service is limited to the fees you paid Clipugo for the Service in the period before the claim arose. This doesn't reduce our obligation to pay earnings we owe you.

Nothing in these terms limits liability that can't legally be limited, such as liability for fraud, or for death or personal injury caused by negligence.

Indemnity

To the extent the law allows, you'll defend and indemnify Clipugo and its officers, employees and agents against claims, losses and costs, including reasonable legal fees, arising from your content, videos, briefs or campaigns, your breach of these terms or the Guidelines, or your violation of any law or anyone else's rights. We'll tell you promptly about any claim this covers.

Changes to these terms

We may update these terms as Clipugo changes or as the law requires. For significant changes, we'll tell you by email before they take effect, and update the "Last updated" date on this page. Changes aren't retroactive. If you keep using the Service after they take effect, you accept them; if you don't, close your account.

Governing law and disputes

If something goes wrong, email mail@clipugo.com first. We'll make a genuine effort to resolve it before either of us takes formal action.

The law that governs these terms, and the courts or forum that will decide disputes, will be named in this section before these terms take effect. If you're a consumer, you keep the protection of the mandatory laws of the country where you live.

General

These terms and the documents they mention are the entire agreement between you and Clipugo about the Service. If part of them is unenforceable, the rest still applies. Not enforcing a right straight away doesn't waive it. You need our consent to transfer your rights under these terms; we may transfer ours to an affiliate or in a merger, acquisition or sale of assets. We send notices to the email address you gave us, and you can send them to mail@clipugo.com.
